Magnit acquires controlling stake in Azbuka Vkusa

Krasnodar, 30 April 2025: Magnit ("Company" or "Magnit"; MOEX: MGNT), one of the leading retailers in Russia, announces the acquisition (through its main operating subsidiary AO Tander) of a controlling stake in the authorized capital of OOO Gorodskoy Supermarket ("Azbuka Vkusa"), which operates premium retail stores.

The transaction will be completed upon receipt of the relevant approval from Russia's Federal Anti-Monopoly Service and the fulfillment of a number of other conditions agreed upon by the parties.

Azbuka Vkusa operates 171 stores within several formats: Azbuka Vkusa supermarkets (107 stores), Azbuka Daily minimarkets (59 stores) and AV Market hypermarkets (five stores). Most are located in the city of Moscow (138 stores) and the Moscow region (23 stores). The rest are in Saint Petersburg. It also has an online delivery business from its own stores and provides catering and other services.

The total retail area of the acquired assets comprises 100,400 square meters, of which about 77,900 square meters are supermarkets and 11,900 square meters are minimarkets.

The deal also includes five culinary, bakery and confectionery production facilities. Azbuka Vkusa factory kitchens make more than 5,700 different types of products, with a daily output of up to 75 tons.

As part of the deal, Magnit is also acquiring three distribution centers and warehouse infrastructure, with a total area of ​​47,000 square meters, in Moscow and Saint Petersburg.

Magnit plans to keep the Azbuka Vkusa brand name, as well as a key management team, to ensure continuity and development of the unique customer experience that the chain's customers value. Representatives of Magnit will be involved in strategic management of the Azbuka Vkusa business.
