Bank DBS Indonesia acquires 99% stake in DBS Vickers Sekuritas

Strengthening its organisational governance and capital market integration in Southeast Asia's largest economy, foreign-joint venture lender PT Bank DBS Indonesia (DBSI) has officially acquired a 99% controlling equity stake in brokerage firm PT DBS Vickers Sekuritas Indonesia (DBSVI), Infobank News reports. According to an official corporate disclosure released on September 1, the equity transfer was executed via the signing of a Share Sale and Purchase Deed (Akta Jual Beli Saham). The transaction establishes the operational blueprint for the DBS Financial Conglomerate (Konglomerasi Keuangan) in Indonesia.

Under the revised corporate structure, DBSI acquires 99.0% of DBSVI shares, while the remaining 1.0% equity stake is retained by DBS Vickers Securities Holdings Pte Ltd. The corporate action positions DBSI as the Operational Financial Conglomerate Parent Company (Perusahaan Induk Konglomerasi Keuangan - PIKK), with DBSVI integrated as a key conglomerate member entity.

According to DBSI President Director Lim Chu Chong and Acting President Director of DBSVI Andreas Oen, the integration complies directly with Financial Services Authority (OJK) Regulation No. 30 of 2024 (POJK No. 30/2024) on Financial Conglomerates and Parent Companies. The consolidation connects DBSI's commercial banking, treasury, and wealth management infrastructure directly with DBSVI's equity underwriting, institutional brokerage, and retail capital market solutions.

To streamline governance and meet regulatory mandates, parent financial institutions route capital and risk oversight into specialised capital market subsidiaries. The establishment of the DBS Financial Conglomerate highlights key priorities for Indonesia's banking and securities sectors, such as the fulfilment of governance mandates that operate under POJK No. 30/2024 establishes clear regulatory accountability. It requires DBSI to maintain consolidated capital adequacy and risk management frameworks across its subsidiaries.

Combining commercial banking with securities brokerage enables DBS to offer integrated services, including debt underwriting, corporate treasury, and wealth management, through a single ecosystem. Leveraging DBS Group's regional footprint enables DBSVI to expand its institutional research, equity trading, and underwriting capabilities in Indonesia.
